Board Member

Mandate:

The overall mandate of a Board Member is to decide on the policy and administration of the Canadian Academy of Child and Adolescent Psychiatry, an organization with a national interest in the mental health of children and youth and in the profession of child, adolescent and family psychiatry. All Board Members must uphold the purposes of the Academy as outlined in the Constitution.

 

Responsibility:

  • All members are expected to participate in the deliberations of the Board in constructing national policy for the Academy, monitoring the activities of the Academy as an organization, monitoring its sub committees and keeping the Board informed of information relevant to fulfilling these tasks.
  • Members who attend Board meetings by virtue of particular positions, (Chair of a Committee, Regional Representative) will be expected to bring specific expertise by virtue of that position to inform and help members of the Board in their policy deliberations.
  • Once the Board has adopted a policy, members of the Board would be expected to understand the reasons for the policy and explain the appropriateness of supporting the policy as a decision of the Academy.

 

Terms and Process of Appointment

All terms of office begin and end at the conclusion of the Annual General Meeting of the Academy. Further information about terms and process of appointment is specific to the roles and responsibilities of the specific function or representation of the board member.

 

Secretary

Mandate:

The Secretary serves as a member of the Board of Directors of the Canadian Academy of Child and Adolescent Psychiatry (CACAP). As such, the Secretary is expected to fulfill the mandate and responsibilities of a Board Member.

 

Responsibility:

A number of responsibilities are in addition to those of a board member and specific to the Secretary:

  • Ensure that due notice of Board and Annual General Meetings is given.
  • Take minutes for Board Meetings and the Annual General Meeting.
  • Take minutes for any meetings of the executive, including conference calls, between scheduled Board and Annual General Meetings.
  • Assist the President in preparation of the agenda for meetings
  • Ensure that there is at least one full copy of all approved minutes, attachments and reports for each Board and Annual General Meeting that is kept at the national office.
  • Ensure that members of the Academy are notified by mail at least 30 days in advance of motions to amend the constitution at an Annual General Meeting.
  • The Secretary is one of the signing officers for the Academy.
  • Assist the President and Executive in any supervisory and support role for the Executive Director and in management policy for the national office.

Terms and Process of Appointment:

  • The Secretary is nominated by the Board of Directors or delegated committee of the CACAP.
  • The nominee must be a Full Member with the nomination supported by a nominator and seconder who are also Full Members. If two or more members contend the position then there must be an election in accordance with constitutional by-laws.
  • The term of the Secretary is three years, with one repeat term that may be served, expiring at the end of the Annual General Meeting of the last year of the term.
  • If the Secretary position becomes vacant prior to the conclusion of a term, the Board of Directors (or delegated sub-committee) can nominate a replacement to conclude the time remaining until the next Annual General Meeting.

Board nominated replacements will be filled by a duly nominated or elected member to start after the next Annual General Meeting. (The Board nominated replacement member is considered eligible for the permanent replacement position.)

 

Regional Representative

Mandate:

A Regional Representative serves as a member of the Board of Directors of the Canadian Academy of Child and Adolescent Psychiatry.  As such, the representative is expected to fulfill the mandate and responsibilities of a Board Member.

 

Responsibility:

 

A number of responsibilities are in addition to those of a board member and specific to regional representatives:

  • Maintain regular contact with members from the region to provide fair representation.
  • Share necessary and appropriate information from the region with Board members.  (As a national professional organization this can include information regarding resources, recruitment and retention, training, research, remuneration, services delivery developments within governments and organizations delivering mental health services to children and youth and a variety of other relevant topics.)
  • Provide annual reports to the members of the Academy through the Journal, or other appropriate media.
  • Encourage all child and adolescent psychiatrists within a region to become members and work with the National Office to maintain Membership status for all child and adolescent psychiatrists.  In conjunction with the national office, a yearly update of membership can be constructed and provided.
  • Solicit articles for the Journal.
  • Bring knowledge of the members from that region to bear on decisions of the Board.

Terms and Process of Appointment:

  • Regional Representatives are nominated by and from members within the region.
  • The nominee must be a Full Member with the nomination supported by a nominator and seconder who are also Full Members.  If the position is contended by two or more members then there must be an election in accordance with constitutional by-laws. 
  • Representatives are appointed for three years.  A representative can serve two consecutive terms. A member can be re-appointed after a break of at least one year from the position.
  • Terms end after the Annual General Meeting of the last year of the term.
  • When a regional representation position becomes vacant prior to the conclusion of  a term, the Board of Directors (or delegated sub-committee) can nominate a replacement to conclude the time remaining until the next Annual General Meeting.
  • Board nominated replacements will be filled by a duly nominated or elected member from the region, to start after the next Annual General Meeting.  (The Board nominated Regional Representative is considered eligible for the permanent replacement position.)
